Terms of Service

1. About These Terms

These Terms of Service ("Terms") govern your use of the VelocityApps platform ("Service"), operated by VelocityApps ("we", "us", "our"), based in the United Kingdom. By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

The Service is intended for use by businesses and sole traders only. If you are an individual consumer, please note that certain consumer rights under UK law may still apply to you and are described where relevant below.

2. The Service

VelocityApps provides a marketplace of pre-built automation integrations for Shopify stores, including abandoned cart recovery, review request emails, low stock alerts, best sellers collections, and welcome email series. We may add, modify, or remove automations at any time with reasonable notice.

3. Accounts

To use the Service you must register for an account. You agree to:

• Provide accurate and complete registration information
• Keep your account credentials secure and not share them
• Notify us immediately at hello@velocityapps.dev if you suspect unauthorised access
• Be responsible for all activity carried out under your account

4. Free Trials

Each automation comes with a 7-day free trial when first installed. No payment is taken during the trial period. At the end of the trial, your chosen payment method will be charged automatically unless you cancel before the trial ends. Each automation's trial can only be used once per account.

5. Pricing and Payment

All prices are displayed in pounds sterling (GBP) and are exclusive of VAT where applicable.

• Subscriptions are billed monthly in advance on a recurring basis via Stripe
• You authorise us to charge your payment method on each renewal date
• If a payment fails, we will retry. If retries are exhausted, your automation will be suspended until payment is resolved
• We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period
• All fees are non-refundable except as set out in Section 6 below

6. Cancellation and Refunds

6.1 Cancellation by You

You may cancel any automation subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to the automation until that date. No partial refunds are given for unused time within a paid billing period.

6.2 Right to Cancel (Consumer Contracts Regulations 2013)

If you are a consumer (an individual not acting in the course of a business), you have a statutory right to cancel any purchase within 14 days of the subscription starting (the "cooling-off period"), without giving a reason, and receive a full refund.

However, by starting a free trial or paid subscription, you expressly request that we begin providing the digital service immediately. If you exercise your right to cancel within the 14-day period after the service has begun, you may be charged a proportionate amount for the service provided up to the point of cancellation.

To exercise your right to cancel, contact us at hello@velocityapps.dev within 14 days of your subscription starting, stating your name, account email, and the automation you wish to cancel.

6.3 Refunds at Our Discretion

Outside of your statutory rights, we may issue refunds at our discretion — for example, where a technical fault on our part prevented the Service from functioning as described. Contact hello@velocityapps.dev within 14 days of the issue.

7. Shopify Integration

By connecting your Shopify store:

• You authorise us to access your store data to the extent required to run your installed automations
• You confirm you have authority to connect the store to our Service
• You remain responsible for complying with Shopify's Terms of Service and any applicable laws in relation to your store and customers
• You may revoke our access at any time via your Shopify admin panel, which will deactivate your automations

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Interfere with or disrupt the Service or other users' access to it
• Reverse engineer, decompile, or extract source code from the Service
• Use the Service to send spam or unsolicited commercial communications
• Resell or sublicense the Service without our written consent

9. Intellectual Property

All rights in the Service, including software, design, and content, are owned by or licensed to VelocityApps. Nothing in these Terms grants you any rights in the Service other than the limited right to use it in accordance with these Terms.

10. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, consequential, or special loss or damage, including loss of profits, loss of data, or business interruption
• Our total aggregate liability to you for any claim arising from or relating to the Service shall not exceed the total fees paid by you to us in the 12 months preceding the claim

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

If you are a consumer, you may have additional statutory rights that we cannot limit or exclude.

11. Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may carry out maintenance from time to time and will endeavour to give advance notice where possible. We are not liable for downtime caused by circumstances outside our reasonable control.

12. Suspension and Termination

We may suspend or terminate your account if:

• You breach these Terms
• You engage in fraudulent, abusive, or illegal activity
• Payment is overdue and remains unresolved after notice

Where possible, we will give you notice before suspending or terminating your account and an opportunity to remedy the issue. You may close your account at any time from your account settings.

13. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will give you at least 14 days' notice by email before the new Terms take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not accept the new Terms, you may cancel your account before they take effect.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the law of England and Wales. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that if you are a consumer resident in Scotland or Northern Ireland, you may bring proceedings in the courts of your country of residence.
